Direct answer
A foreign buyer receiving defective, wrong-specification, or short-delivered goods from a Chinese supplier should give a precise written nonconformity notice, preserve representative and control samples, prevent avoidable loss, and obtain independent evidence before rework, resale, or disposal. Payment, delivery, or initial use does not automatically erase every timely quality objection, but the contract, inspection period, defect type, notice record, and proof remain decisive.
Applicable legal framework
The PRC Civil Code addresses sales obligations, inspection and notice, cure, termination, damages, mitigation, and agreed damages where PRC law applies. The current Supreme People’s Court interpretation on sales-contract disputes explains factors for a reasonable inspection period and states that payment, debt confirmation, or use does not by itself defeat a timely objection unless the parties agreed otherwise. Litigation, preservation, and enforcement require separate review under the PRC Civil Procedure Law, while electronic and technical records should be preserved consistently with the Supreme People’s Court evidence provisions.
Operational steps
- Quarantine the disputed lot and stop uncontrolled mixing, rework, resale, or disposal where safe and commercially reasonable.
- Match the contract, purchase order, drawings, approved sample, inspection protocol, packing list, serial or batch records, and any agreed hierarchy of specifications.
- Send a dated notice identifying each defect, affected quantity, test method, requested joint inspection, preservation request, proposed cure, and reserved remedies.
- Use an independent laboratory or inspector with documented competence, sampling method, seal numbers, photographs, video, metadata, and chain of custody.
- Quantify price reduction, repair or replacement, refund, cover purchase, inspection, storage, recall, and other supported loss without double counting.
- Before alerting a distressed supplier to asset action, verify the legal entity, payment recipient, guarantors, forum, available security, and likely assets.
Evidence checklist
- Executed contracts, purchase orders, specifications, revision history, samples, inspection and acceptance clauses.
- Native communications, shipment and customs records, container seals, carton counts, warehouse intake, photographs, video, and metadata.
- Sampling plan, test method, laboratory accreditation, raw data, retained samples, custody log, and supplier invitation or response.
- Customer complaints, repair or replacement records, disposal necessity, cover purchases, storage invoices, and mitigation decisions.
- Supplier admissions, credit notes, refund promises, proposed waivers, settlement drafts, registry data, and asset leads.
Common risks and exceptions
Late or vague notice, testing outside the agreed method, destroyed samples, inconsistent specifications, acceptance language, weak custody, continued use, unsupported recall decisions, or speculative downstream loss can narrow remedies. CISG applicability, governing law, jurisdiction, arbitration, service abroad, foreign evidence, currency, and enforcement must be analyzed separately for an international sale; no evidence plan guarantees recovery.
