Direct answer
China’s revised Arbitration Law has been effective since March 1, 2026. A foreign business should now review every China-related arbitration clause for a precise institution, seat, scope, language, governing law, interim-measure strategy, and enforceability. The reform does not make a vague clause safe, and it does not guarantee enforcement.
Applicable legal framework
The primary official text is the PRC Arbitration Law revised on September 12, 2025 and effective March 1, 2026: https://www.npc.gov.cn/npc/c2/c30834/202509/t20250912_447762.html. Article 4 preserves the need for an arbitration agreement, while the revised statute contains a dedicated chapter for foreign-related arbitration. The PRC Civil Procedure Law separately governs court support, challenges, recognition, and enforcement where applicable.
Operational steps
- Identify the contracting entities by exact registered name.
- State an identifiable arbitration institution and the legal seat.
- Define disputes covered, language, number of arbitrators, and governing law.
- Align interim relief and asset-preservation planning with likely Chinese assets.
- Check institutional rules current on the signing date and keep a signed bilingual final version.
Evidence checklist
- Signed contract and every incorporated purchase order.
- All clause drafts, redlines, and acceptance communications.
- Entity registry records and signatory authority.
- Institutional rules and filing evidence.
- Notices, proof of service, and native electronic records.
Common risk and exceptions
An unclear institution, inconsistent seat language, unsigned draft, or later purchase order can trigger jurisdiction disputes. Mandatory rules, consumer or employment characterization, insolvency, public policy, and the location of assets can change the analysis. Submission or acceptance by an institution is not itself proof that a later award will be enforced.
