Foreign companies considering a claim in China should evaluate asset preservation before the defendant receives advance warning. A favorable judgment or award does not itself create assets. The practical objective is to connect a supportable claim to identifiable property, a competent court, acceptable security, and a realistic enforcement route.
Direct answer
A foreign claimant may seek pre-litigation, litigation, or arbitration-related preservation in an appropriate China-related dispute. The applicant normally needs the correct respondent, jurisdiction, a legally supportable claim, a proportionate request, identifiable property or concrete asset clues, and security accepted by the court. Preservation is discretionary and does not guarantee liability or collection.
What changed in 2026
The revised PRC Arbitration Law, adopted September 12, 2025 and effective March 1, 2026, addresses preservation before arbitration and modernizes foreign-related arbitration. Contract drafters and claimants should coordinate the arbitration institution, seat, competent preservation court, filing sequence, and security before an emergency arises.
Evidence and asset checklist
- Contract, purchase order, arbitration or jurisdiction clause, amendments, and authority documents.
- Payment records, delivery or performance evidence, breach notices, admissions, and loss calculation.
- Chinese registered name, unified social credit code, addresses, legal representative, and related-party map.
- Bank beneficiary information, real estate, vehicles, equity, receivables, machinery, inventory, trademarks, patents, and enforcement history.
- Facts showing urgency or dissipation risk, the requested preservation amount, and the proposed form of security.
Procedure and timing
The PRC Civil Procedure Law as amended September 1, 2023 and effective January 1, 2024 provides the basic preservation framework. The Supreme People’s Court Provisions on Property Preservation require a written application and supporting materials, including the parties, facts and reasons, amount, clear property information or specific clues, and security information where required. Urgent applications receive expedited treatment under the statutory framework, but foreign-party document formalities can still delay readiness.
Risks that must be priced
An erroneous or excessive freeze can expose the applicant to compensation liability. Existing mortgages, pledges, earlier seizures, statutory priority, bankruptcy, co-ownership, and low auction value can reduce recovery. A bank account used for the original payment is a useful lead, not proof that money remains. Counsel should compare the claim amount, evidence, security cost, preservation fees, asset value, settlement leverage, and likely enforcement outcome.
Practical filing sequence
- Verify the exact Chinese respondent and dispute forum.
- Build a dated breach and damages chronology.
- Investigate assets without alerting the wrong party prematurely.
- Prepare foreign corporate authority documents and Chinese translations.
- Confirm security availability and court acceptance.
- File the preservation and merits or arbitration materials in the correct sequence.
- Calendar preservation renewal and later enforcement deadlines.
