A refund promise is not the same as payment
Suppliers may promise a refund to delay escalation, obtain return of goods, avoid a platform complaint, or gain time to move funds. Treat an informal promise as evidence, not completion. Confirm the debt, legal entity, amount, currency, payment account, schedule, conditions, and consequences of default in a written settlement executed by the correct party.
Identify the party and authority
Use the supplier's complete registered Chinese name and unified social credit code. Verify the signatory's authority and use the appropriate company chop where relevant. If another company or individual will pay or guarantee the debt, define that obligation expressly. Do not assume a trading name, salesperson, or related factory binds the contracting entity.
Define payment and default precisely
State the admitted facts and debt, installment dates, bank charges, currency conversion rules, account details, permitted deductions, interest or agreed default consequences, dispute forum, notice addresses, evidence language, and whether the original claim revives after default. Avoid clauses that release all claims before cleared funds are received unless the commercial trade-off is intentional.
Protect evidence and leverage
Do not surrender originals, return all goods, withdraw proceedings, delete reviews, or waive claims merely for a future promise without assessing security and sequencing. Preserve the original contract and breach evidence. Where lawful and practical, consider guarantees, deposits, collateral, consent to preservation, or staged releases tied to cleared payments.
